1. Acceptance of Terms

By accessing or using Veredo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Veredo is a decision management platform that allows users to create projects, document decisions with structured analysis (pros, cons, rationale), create branches to explore alternatives, and collaborate with team members. The Service is provided on an "as is" and "as available" basis.

3. User Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You may not use another person's account without permission.
  • We reserve the right to suspend or terminate accounts that violate these terms.

4. User Content

You retain ownership of all content you create on Veredo, including decisions, branches, projects, and related data ("User Content"). By using the Service, you grant us a limited license to:

  • Store, display, and transmit your content as necessary to provide the Service
  • Create backups and copies for reliability and disaster recovery
  • Share your content with team members you have explicitly invited to your projects

We will not use your content for marketing, training, or any purpose beyond operating the Service without your explicit consent.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to promote illegal activities
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Impersonate any person or entity

6. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by Veredo and protected by intellectual property laws. These terms do not grant you any right to use the Veredo name, logo, or branding without prior written consent.

7. Team Collaboration

When you invite members to a project, you grant them access according to their assigned role (Owner, Editor, or Viewer). You are responsible for managing member permissions and ensuring appropriate access levels. Project Owners can remove members and modify roles at any time.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Veredo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before deletion.

12. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or a prominent notice within the Service. Continued use after changes take effect constitutes acceptance of the revised terms.

13. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved through good-faith negotiation before pursuing formal legal proceedings.
